What we do, in detail

Holding participations, beneficial ownership, what we are not, and records.

Program 01 · On our own account

Holding participations

This is the whole of the registered activity. We hold interests on our own account, with our own capital, for our own purposes. We do not pool anyone's money, we do not hold assets for other people, and we do not take positions on behalf of third parties. It is a deliberately narrow description and it is accurate, which matters more than it sounds, because the word holding attracts proposals that assume something much broader.

  • Own account only
  • No third-party money
  • Long-term interests
  • No pooled funds

Program 02 · Adequate and current

Beneficial ownership

Four standing obligations, none of them optional. Declare the natural persons who ultimately own or control the company. File supporting documents showing the information is adequate, accurate and current. Register any change within one month. Confirm the entry at least once a year even when nothing has changed. Fines for failing land on directors personally, which is a design choice by the legislator and a sensible one.

  • Statutory duty
  • Evidence filed
  • Monthly deadline
  • Annual confirmation

Program 03 · Said first

What we are not

We are not an investment firm: no third-party money, no investment services, no public solicitation, no authorisation from the markets authority, and nothing here is an offer or invitation to invest. We do not act as nominee shareholder or nominee director for anyone, we do not form companies for third parties, and we do not provide any arrangement whose purpose or effect is to obscure who ultimately owns something. That last one is the point of the whole page.

  • No authorisation held
  • No nominee role
  • No formations
  • No obscuring

Step 4 · Calendar

Deadlines diarised, not recalled.

Program 04 · Boring, on time

Records and filings

Annual accounts filed as the company law requires, the beneficial ownership entry confirmed on time, supporting documents kept where they can actually be found. None of this is interesting and all of it is the difference between a structure that stands up to a question and one that generates a problem at the worst moment. A holding with tidy filings is answering the question before anyone asks it.

  • Filed on time
  • Evidence retained
  • Entry confirmed
  • No surprises
